LOAN DOC ISSUES

Please join me on October 29 th from 12:00 p.m. – 2:00 p.m. at the Cornell Club (6 East 44th St.) for a lending workshop sponsored by the Mortgage Bankers Association of New York (MBAofNY) on "Today's New Issues in Structuring and Negotiating Loan Documents."

I will chair the program, with a panel of three other commercial real estate attorneys: Christopher S. Delson of Morrison & Foerster LLP, Richard S. Fries of Sidley Austin LLP and Gary A. Goodman of Dentons. We will discuss how borrowers and lenders are negotiating and structuring commercial real estate loans in today's marketplace and legal environment, with an emphasis on what has changed since 2007.

The program will consider only non-CMBS loans, both construction and permanent, exploring these and other topics:

  • Major changes in guaranty negotiations in response to lessons learned in the recent economic downturn -- exploring not only nonrecourse carveout guaranties and carry guaranties, but also the issues that guaranties can create with multiple layers of debt, looking at examples such as Stuyvesant Town.
  • New challenges in using swaps and caps for commercial real estate loans.
  • Changes in tax rules and "know your customer" rules.
  • New accelerated dispute resolution procedures in New York courts.
  • How new players in the market – EB-5 investors and hedge fund equity investors – affect loan documentation.
