"I SEE NOTHING"

While in the midst of negotiating its renewal lease, U.S. Legal Support sent back a draft with an un-highlighted change which made the landlord--Eldad Prime--liable for the cost of alterations. Eldad signed the renewal without noticing the modification. When it later asked the New York County Supreme Court to reform the lease, the judge denied the request, and an appeal followed.

Because the landlord was a “sophisticated party” who had failed to “exercise ordinary diligence” when it neglected to fully review the final version, the Appellate Division, First Department, agreed the lease should remain unchanged.

That sure wasn’t the highlight of that landlord’s day.
