Newman Ferrara LLP Investigating Officers and Directors of American Realty Capital Properties in Connection with Federal Criminal Probe

Newman Ferrara LLP announced that it has an ongoing investigation into actions taken by officers and directors of American Realty Capital Partners (NASDAQ:ARCP) ("ARCP" or the "Company") in connection with serious accounting irregularities that have culminated with investigations by the FBI and the SEC.

Yesterday, The Wall Street Journal reported that the FBI opened a criminal investigation into ARCP, "just days after the company revealed accounting errors that had been intentionally concealed from the public." Last week, the Company announced that it had overstated its adjusted funds from operation from the first and second-quarters of 2014 by $23 million. The intentional accounting misstatements resulted in the resignation of the Company's CFO and Chief Accounting Officer. In a conference call last week, ARCP's CEO David Kay, admitted that second-quarter's results were misstated intentionally "in order to conceal the error from the first quarter." ARCP's stock price has fallen nearly 30%, wiping out approximately $4 billion in market value. On October 29, 2014 alone, ARCP stock dropped 19%. Today, the ARCP shares are trading at a low of $7.38 per share.

In addition to violations of the federal securities laws, Newman Ferrara is investigating whether the Company's officers and directors breached their fiduciary duties to the Company and its shareholders in connection with the admitted accounting fraud.
