RE: Lease ("Lease") dated as of MAY 7, 2009 between B. BROS. BROADWAY REALTY, LLC, as "Landlord" and CRUMBS GARMENT CENTER LLC, as "Tenant" with respect to the premises ("Premises") described therein as GROUND FLOOR STORE IN THE BUILDING LOCATED AT 1385 BROADWAY, NEW YORK, NEW YORK 10018 and as indicated on the Floor Plan annexed hereto.

S I R S:

PLEASE TAKE NOTICE that you are in default of the above referenced Lease. Specifically, the Premises have become vacant or deserted in violated in Article 17(1) of the Lease.

PLEASE TAKE FURTHER NOTICE that you are required to re-occupy and utilize the Premises as described and required under the terms of the Lease on or before July , 2014, that date being not less than five (5) day from the date of this Notice.

PLEASE TAKE FURTHER NOTICE, that in the event you fail to so cure this default by re-occupying and utilizing the Premises in the manner and use as described with the Lease, all before July , 2014, the undersigned shall issue a three (3) Notice of Termination pursuant to the terms of the Lease and shall thereafter, enforce its rights and remedies in order to regain possession of the Premises, all without waiving any and all of its monetary claims under the Lease.

PLEASE TAKE FURTHER NOTICE, that this Notice is sent without prejudice to the Landlord's right to proceed and to collect all rent and additional rent due and owning through date, which amount is presently the sum of $36,632.20.

PLEASE TAKE FURTHER NOTICE, that this Notice is sent consistent with Rider Paragraph 58 of the Lease.
